| Our Codes/Cards We offer a variety of codes and cards that are valid for music downloads. Some of these codes and cards are promotional in nature, meaning they are provided free of charge or as a bonus in connection with a sweepstakes, contest or other promotion. These codes may be provided either online or electronically, or on a card or through other promotional materials. These codes are often referred to as "Connect Cash™ Codes" and the cards they are provided on are often referred to as "Connect Cash™ Cards". We also offer codes and cards that are products that must be purchased. These cards can be purchased in one of two ways: (1) from a retailer that sells the codes or cards online or in retail locations (often referred to as "Prepaid Cards" or "Gift Cards"), or (2) from www.connect.com (or CONNECT™ Music) directly (often referred to as "Gift Certificates" or "Gift Cards"). The latter are delivered to recipients by email. Please read below to learn more about the terms and conditions that apply to our codes and cards. If you purchased a gift or prepaid card from an online or physical retailer and the back of that card does not refer to the URL www.connect.com/cardterms, or you purchased a gift certificate or card online from www.connect.com and it does not link to this web page or refer you to the URL www.connect.com/cardterms, then these terms are conditions do not apply to you. See your gift or prepaid card or gift certificate for applicable terms and conditions. You may have purchased a gift or prepaid card that indicates that it "expires one year from date of activation at register, or as permitted by applicable laws". In order to provide our consumers with the best possible service and the full benefit of their purchase, Sony CONNECT has elected to extend the term of such cards. Please note that these cards will not expire. TERMS AND CONDITIONS OF CONNECT CASH CODES & OTHER PROMOTIONAL CONNECT CODES CONNECT MUSIC www.connect.com Last Updated: December 20, 2006 Effective Date: September 19, 2006 Version: 1.2 These Terms and Conditions ("Terms") apply to CONNECT Cash codes and all other promotional CONNECT Music codes (hereinafter, "Codes") provided by Sony Connect Inc. ("Sony Connect") or one of Sony Connect’s promotional partners through a legitimate promotion involving Sony Connect or rewards provided by Sony Connect. These Terms supplement the terms and conditions that apply to the particular offer or promotion through which the Code is provided. IF A CODE DOES NOT FUNCTION, YOUR SOLE AND EXCLUSIVE REMEDY AND OUR ONLY OBLIGATION AND LIABILITY SHALL BE THE REPLACEMENT OF THE CODE WITH A FUNCTIONAL CODE OF EQUIVALENT VALUE. Laws in certain jurisdictions do not allow limitations on certain warranties or the exclusion or limitation of certain damages and depending on where you reside, some of the limitations and exclusions above may not apply to you. In all respects, these Terms and Conditions and the subject matter hereof shall be governed by the laws of the State of New York and the Federal laws applicable therein, without regard to conflict of laws rules. All claims and disputes arising out of or relating to any Code, Credit or your Account shall be exclusively brought in the courts located in New York County, in the City and State of New York and you agree to and hereby submit to the exclusive personal jurisdiction of these courts and waive any right to object to either the choice of law or to raise any inconvenient forum objections to such courts. YOU IRREVOCABLY AND UNCONDITIONALLY WAIVE ANY RIGHT YOU MAY HAVE TO A JURY TRIAL. Sony CONNECT reserves the right to change these Terms and Conditions at any time. In the case of a material change to these Terms and Conditions, we will replace the "Code Terms" link at www.connect.com with a link entitled "Code Terms - Updated XX/XX/XXXX", which will remain for 30 calendar days. If Sony Connect makes a material change to these Terms and Conditions we will post the new version at least 30 days before the changes become effective. Changes will be effective immediately when posted or on the date indicated as the effective date when we post the change. TERMS AND CONDITIONS OF GIFT CARDS/PREPAID CARDS & GIFT CERTIFICATES CONNECT MUSIC www.connect.com Last Updated: January 4, 2007 Effective Date: December 20, 2006 Version: 1.1 Gift Cards, Prepaid Cards and Gift Certificates (collectively, "Gift Cards") shall have the value shown on their face after activation at register. If applicable, taxes must be paid separately (not included). Gift Cards can only be used to purchase music downloads from www.connect.com ("CONNECT Music"). Gift Cards have no cash value and are not redeemable for cash or other gift cards. Gift Cards cannot be resold or exchanged. To redeem a Gift Card, holder must be a U.S. resident age 13 or older; register at CONNECT Music and open and maintain a free CONNECT Music account ("Account") (agreement with all terms applicable to registration, maintenance and use of Account required); have certain minimum system requirements; and download and install the free software available at CONNECT Music (agreement with E.U.L.A. required). You are responsible for any additional payments required for purchases in excess of the Gift Card value redeemed into your Account. The current minimum system requirements are: Microsoft® Windows® ME, 2000 or XP Minimum of 500 Mhz processor Minimum of 400 MB available hard disk space Minimum of 128 MB RAM CD-ROM drive (for installation and import or playback from CD) Supported CD-Recordable drive (for CD burning purposes) Internet Connection (Broadband suggested) Neither Sony CONNECT, nor any of its licensors, licensees, or parent or affiliated companies, or its or their employees or agents, make any warranties regarding Gift Cards, CONNECT Music and/or content within CONNECT Music, and hereby disclaim all warranties, express and implied, to the fullest extent permissible under law. Sony CONNECT reserves the right to change the terms that apply to your Account and Gift Cards. Gift Cards are void where prohibited or restricted by law.
